You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage resulting from unauthorized use of your account.
Our platform may enable you to send communications, including email and SMS messages, through third-party providers such as Twilio. You acknowledge and agree that you are solely responsible for obtaining all required consents from recipients prior to sending any communications. You agree to comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other relevant data protection or marketing laws. You agree to indemnify and hold harmless the Company from any claims, damages, fines, or liabilities arising from your failure to comply with such laws.
You retain ownership of any data you submit or manage through the Services. However, by using the Services, you grant us a limited, non-exclusive, worldwide license to use, process, and store such data solely for the purpose of providing and improving the Services. If you use the Services to manage data related to third parties, you represent that you have all necessary rights and permissions to do so.
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or engaged in behavior that may harm the Company, the platform, or other users. We may also suspend accounts to comply with legal requirements or to prevent suspected fraud or abuse.
The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption arising from your use of the Services. Our total liability for any claim related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or rights of a third party.
You agree that any disputes arising out of or relating to these Terms or the Services shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles.
